Terms of Service

Please read these Terms of Service ("Terms") carefully before using STR Comply ("Service"), operated by STR Comply ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using STR Comply, you confirm that you are at least 18 years of age, have the legal authority to enter this agreement, and agree to these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and STR Comply.

2. Description of Service

STR Comply is a software-as-a-service (SaaS) platform that provides:

• Automated monitoring of short-term rental regulations across US cities
• Personalized compliance checklists based on your property details
• Real-time alerts when regulations change in your monitored cities
• AI-powered compliance assistance
• PDF export of compliance checklists

3. Informational Purpose Only — Not Legal Advice

IMPORTANT: STR Comply provides informational content only. Nothing on our platform constitutes legal advice, regulatory advice, or a guarantee of compliance.

• We are not a law firm and do not provide legal services
• Our compliance checklists are based on publicly available government information and may not reflect the most current regulations at any given time
• Regulations change frequently — always verify requirements directly with your local government before making compliance decisions
• STR Comply is not responsible for any fines, penalties, enforcement actions, or losses arising from reliance on our platform
• You are solely responsible for ensuring your STR operations comply with all applicable laws

We strongly recommend consulting a licensed attorney for legal compliance advice specific to your situation.

4. Account Registration

To use STR Comply, you must create an account with accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized account access at support@strcomply.ai

We reserve the right to terminate accounts that contain false information or violate these Terms.

5. Subscription and Billing

5.1 Subscription Plans

STR Comply offers monthly subscription plans (Basic, Pro, Pro+) processed through our payment provider Creem.io. Plan details, pricing, and features are as described on our pricing page at the time of purchase.

5.2 Billing Cycle

Subscriptions are billed monthly in advance on the date you subscribed. Subscriptions automatically renew unless cancelled before the renewal date.

5.3 Price Changes

We reserve the right to modify subscription pricing with 30 days advance notice. Continued use after price changes constitutes acceptance of the new pricing.

5.4 Credits

Credits are a platform currency used to access specific features. Credits are:

• Granted monthly with active subscriptions
• Non-transferable between accounts
• Non-exchangeable for cash
• Forfeited upon account termination
• Subject to expiry as described in your plan details

5.5 Automatic Renewal

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW EACH MONTH UNLESS YOU CANCEL BEFORE YOUR RENEWAL DATE. You may cancel at any time through your account Settings page.

5.6 Cancellation

Upon cancellation:

• You retain access to the Service until the end of your current billing period
• No further charges will be made
• Your data is retained for 30 days after the billing period ends
• After 30 days, your data may be permanently deleted

6. Refund Policy

ALL FEES ARE NON-REFUNDABLE EXCEPT AS EXPRESSLY STATED HEREIN.

• Monthly subscription fees are non-refundable once charged
• Credit pack purchases are non-refundable once processed
• No refunds are issued for partial months of service
• No refunds are issued for unused credits
• Cancellation stops future charges but does not entitle you to a refund of amounts already paid

Exception: If STR Comply experiences a verified technical outage exceeding 72 consecutive hours that prevents you from accessing the Service, you may request a prorated credit for the affected period by contacting support@strcomply.ai within 30 days of the outage.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of our systems
• Scrape, copy, or reproduce our platform content or data
• Resell, sublicense, or transfer your account or subscription
• Interfere with the Service or other users' access
• Upload malicious code or attempt to compromise our infrastructure
• Misrepresent your identity or property information
• Use the platform to advise third parties for compensation without our written consent

8. Intellectual Property

All content, features, and functionality of STR Comply — including but not limited to text, graphics, logos, compliance frameworks, and software — are owned by STR Comply and protected by US and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes only.

You retain ownership of property data and information you submit to the platform.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Accuracy or completeness of regulatory information
• Uninterrupted or error-free service
• That the Service will meet your specific compliance requirements

WE DO NOT WARRANT THAT OUR COMPLIANCE DATA IS CURRENT, ACCURATE, OR COMPLETE. REGULATORY INFORMATION MAY BE OUTDATED, INCOMPLETE, OR INCORRECT. ALWAYS VERIFY WITH OFFICIAL GOVERNMENT SOURCES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

STR Comply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Fines or penalties imposed by government authorities
• Cost of compliance remediation
• Loss of business or data
• Any damages arising from reliance on our compliance information

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO STR COMPLY IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless STR Comply and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your STR operations and compliance decisions
• Any content or information you submit to the platform

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@strcomply.ai and attempt to resolve the dispute informally for at least 30 days.

12.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Dubai, United Arab Emirates, or via videoconference. The arbitrator's decision shall be final and binding.

12.3 Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION AGAINST STR COMPLY.

12.4 Opt-Out

You may opt out of arbitration within 30 days of first using the Service by emailing legal@strcomply.ai with subject "Arbitration Opt-Out."

13. Governing Law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles. For users in the United States, applicable US federal and state consumer protection laws apply where mandatory.

14. Termination

We reserve the right to suspend or terminate your account immediately and without notice if you:

• Violate these Terms
• Provide false information
• Engage in fraudulent activity
• Fail to pay subscription fees
• Abuse the platform or other users

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive will survive termination.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
